JOB PURPOSE
This position will closely support the General Counsel of Cura in the Portland Corporate Office in a wide variety of legal and administrative duties. This corporate paralegal will assist the corporation's legal department in many facets of corporate law-from paperwork to court proceedings. Much of the time will be spent carrying out routine tasks such as researching information, updating company files, preparing legal contracts, reviewing documents, and giving legal assistance. They may have to attend corporate meetings, prepare corporate resolutions, log board minutes, and other similar corporate items. They also may be called on to assist with company compliance issues.
RESPONSIBILITIES
- Closely assist with circulation, organization, scheduling and execution on a wide range of transactional, contract, and litigation matters
- Maintaining and filing corporate records, including resolutions, the board of director changes, annual reports, etc.
- Perform administrative duties as needed, including processing invoices, expense reports, scheduling, drafting, typing, calendaring, coordinating travel and other clerical matters
- Providing administrative support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions
- Assist with management of litigation matters including docket management, interaction with outside counsel and discovery responses
- Creating documents related to new corporate entity formations
- Producing documents related to the development and implementation of corporate policies and templates
- Working with other members of the legal team on special projects and initiatives
- Research, gather and compile information for various cases or projects as requested
- Interact with internal clients, employees, executives, or other individuals as needed by the company
- Ad Hoc requests based on qualifications and company needs
QUALIFICATIONS
- Bachelor’s degree from a 4-year university or equivalent experience in lieu of degree
- Paralegal certification from an accredited institution
- 3-5 years of experience of in-house corporate experience
- Strong ability to multitask and work through constant interruption
- Excellent verbal and written communication skills
- Comfortable in a start-up environment - willingness and interest to roll up sleeves to do whatever it takes to get the task at hand done
- Adaptable, with good judgment and the ability to think on your feet
- Dedication to performing excellent work
- Ability to prepare and present clear and concise oral/written opinions, reports and presentations
- Ability and willingness to travel and work weekends when needed
- Masters degree in a related field PREFERRED
- Experience working in the cannabis industry PREFERRED
