Our client, a multi-state diversified holding company in the cannabis industry, is seeking an experienced Corporate Attorney to work under the direction of the General Counsel and provide legal support to their business.
Working out of the company's headquarters in NYC, the Corporate Attorney will review and negotiate proposals, letters of intent, term sheets and conditions, and statements of interest with respect to proposed transactions within the cannabis space.

Job Description and Responsibilities
- Negotiating and drafting contractual agreements, prepare, review and negotiate company contracts, requests for proposals and other legal documents
- Assist and provide oversight of outside counsel as necessary, and provide input on the decision to send matters to outside counsel
- Develop the organization's policies on cannabis industry-specific issues, corporate governance or regulatory affairs in the cannabis space
- Provide advice on legal aspects of the companys financing, including advising on legal entities plus current and future business structures
- Serve as a legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures projects in cannabis
Requirements
- Minimum of three years experience in a law firm environment, working on matters of corporate governance and with a board of Directors
- Juris Doctorate Degree required from an accredited school, admitted to the bar
- Familiarity and understanding of Sarbanes-Oxley (SOX) and legislation and related FASB revenue recognition guidelines
- Broad, overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence
- Knowledge of and prior legal experience in the Cannabis Industry a plus
Compensation
- $100-120K plus Benefits and Bonus
